BOOK REVIEW COMPANY ACQUISITION OF OWN SHARES 6th Edition By Nigel Dougherty and Anne Fairpo Jordan Publishing ISBN: 978 1 84661 245 9 www.jordanpublishing.co.uk OWN SHARE ACQUISITION BY COMPANIES: A COMPREHENSIVE ANALYSIS OF THE LAW An appreciation by Phillip Taylor MBE and Elizabeth Taylor of Richmond Green Chambers When a company -- i.e. a limited company -- buys its own shares, what are the implications, particularly the tax implications? This highly regarded legal text now published in a new sixth edition by Jordans, provides the practitioner with the answers to this and any number of other relevant questions that can and do arise from own share acquisition, including the fiscal consequences. The expert authors remind us that it was the Companies Act 2006 that effected significant changes within this area of English company law, thus making it easier for a limited company to purchase its own shares. Gift, purchase and forfeiture, say the authors in the Introduction, are the three main ways in which a company today may acquire its own shares. All three are examined in detail in this volume. The point is also made that own share purchase 'is but one species of own share acquisition, although perhaps the most important species.' The book, however, covers the whole area of own share acquisition, providing practical advice and clarifying a formidably wide range of difficult and sometimes confusing issues. This completely revised and updated new edition, examines all new developments pertaining to own share acquisition, including the key changes made by the Companies Act 2006, the taxation issues and other key commercial considerations. Those wishing to pursue further research will appreciate the lengthy section containing tables of cases, statutes, statutory instruments, EC materials and other materials, as well as a useful table of abbreviations. For added convenience and ease of use there's a detailed table of contents and a comprehensive index. Also note the invaluable inclusion of Appendices A to J, which contain the most important forms and precedents that you as a professional will need in your day to day practice. Whether you are a company lawyer, barrister, accountant or tax adviser, this book -- also available as an eBook -- will enhance your understanding of this complex area, while providing a ready reference to, in the words of the authors, 'the law relating to own share acquisitions, from the perspective of both company law and tax law'. The law is stated as at 1st February 2013, including the expected effect of the Finance Act 2013 -- and prior to, you will notice, the replacement of the Financial Services Authority (FSA) by the Financial Conduct Authority in April 2013.

For most of you, Warren Buffett needs no introduction: his track record speaks for itself. What makes Buffett unique among the world's richest men is that he made his fortune not by innovating in the tech industry or by inheriting billions, but by making successful stock picks for over half a century. Despite his immense fortune, Buffett retains the humbleness of his upbringing. Born right at the start of the Great Depression, Warren saw the great poverty of the 1930s firsthand. He was lucky enough to be born to a congressman, Howard Buffett, who could provide for his family despite the crisis. Nevertheless, Buffett learned to value money from an early age. In school his love of math and thriftiness naturally led to entrepreneurial ambitions. He sold Coca Cola to his fellow students, bought and operated pinball machines and eventually bought an entire farm to rent out. After graduating university he went to work for his favorite teacher, Benjamin Graham, the father of value investing. Using Graham's teachings, Buffett made many successful stock picks and outperformed the stock market by a factor of 4. Ironically, Warren's only bad investment was purchasing Berkshire Hathaway itself, which at the time was a struggling textile company. Buffett bought Berkshire just to fire its CEO and later regretted the move; indeed, he sold the company's textile business later on and used it purely as an investment vehicle. Today, Berkshire Hathaway is the world's largest conglomerate and Buffett is one of the richest men alive thanks to it. What is stock market or stock , Money market or buy low sell high?

05:13
The Stock Market By Alex Saddler, Tom Kutina, and Dillon Nelso 2. Introduction The stock market is an addition to a company’s business. In this present- ation we will show you how the stock market works, and why it is so risky. 3. What is stock? In the Stock Market, companies sell shares to the public. That means that the companies are actually selling power of the company to the public. If you buy 250 shares of a company with 500 separate shares, you own 50% of the company! When you own such a percentage of the company, you have a say in how the company is ran. 4. A Stock’s Value When you own 1 share of a company(which has 500 shares total), you own .002 (.2%) of that company. That may not sound very big, but if that company is strong enough, that can be a lot of money! If the company is worth $500,000, and there are 500 shares, each share is worth $1,000; and that’s a lot of money! 5. Before a company goes Public Before a company sells stock shares, the company is private ; this means that there is only one share. That one share is worth all of the company’s earnings. That share is owned by the company's owner. 6. When a company goes Public If the owner of a private company feels the need to sell stocks, the company announces that they will go public ; this is pretty self-explanatory. The company’s power will be distributed to the people. 7.When a company goes Public When a company goes public, the owner of the company decides on how to split the company’s power(how many shares to sell). When someone buys a share, the company gets that money, but can no longer use that share as power. 8. How Stocks Work Whenever someone buys a share, the company gets those proceeds. This adds to the company’s value, making the price of each stock rise a little. When people sell their stock, the price per share goes down a little, contrary to people buying shares. 9. Selling Stocks A share holder can sell his/her stock at any time. The owner gets however much money the shares were worth when s/he sold them. 10. The Unpredictable Stock Market The stock market is almost unpredictable. Sometimes, when a company introduces an interesting product, you can tell that the company will do well. But other than that, it may go down or up unexpectedly, making it hard to choose when to buy or sell. “Am I buying at a good time, or should I wait till it gets lower?” 11. The risks If you choose to be a share holder, consider the following: Knowing a history of the company you’re interested in, and seeking advice from a previous owner of that stock. Buying at what seems like a “low moment.” This means, buy when the shares are low. Remembering the general rule of the market, “Buy low, sell high!” 12. The Risks (cont.) Asking an accountant, broker, or other specialist in the stock market. Purchase stock in small amounts to avoid potential large losses. 13. Follow-up So, in this slide show, we have covered: How a share’s value is determined Buying and selling of stocks Before and after companies sell stock The risks of being a share holder 14. THE END Thank you for viewing our Stock Market slide show! Be sure to check out our other educational Economics slide shows in our Home Page’s Slide Show Library

Stock Buybacks: Why companies buy back they own shares?

05:59
Stock buyback: Why companies buyback their own shares? “Apple needs more buybacks!” I’m quoting Carl Icahn who said this for years now. But why companies do buy back they own shares? In ideal tax conditions, there are really only a few occasions when a company wants to buy back its own shares. The best example for stock buyback is, when Berkshire Hathaway, started to buy back its own shares. This happened when Warren Buffet felt that the company is severely undervalued, and instead of acquiring new business, the best way to increase shareholder value is to buy more of the existing busyness at current price. This happened usually when the Price to Book value ratio reached 1.2-1.3. If we see something like this, the chance of investing in that company and make money is high. The other reason why companies buy back they own shares is taxes. The capital gain tax is lower in almost any country than the dividend tax. That is why many companies use stock buyback as a method to return value to shareholders without forcing them to pay high taxes. This reason unfortunately makes sense, but in ideal tax conditions this would not matter. This mean that stock buyback because taxation is also a good practice. Now let’s see some other reasons. One of them is that many executives receive a big chunk of their income as bonuses, and these bonuses are linked to the stock price increase. This is done, by offering them call options at current price. If the price of the stock goes up, these options become valuable. If the stock price goes up a lot these options become really valuable. In this case executives have a vested interest to push up the stock price, even if it is temporary, to receive the bonuses. Many CEO do that, even if the company is far from undervalued. In this case because of the buyback the executives receive the bonuses, and they also can sell they own shares at higher prices. If you see something like this, sell with the insiders. Some companies bring this to an extreme. They borrow money, or issue bonds, to buy back they own shares. In normal circumstances this does not make any sense. Still, today this has become common practice. Well-known companies like Apple can issue bonds with close to zero interest rates. They issue bonds and buyback they shares. Apple also does this, so it does not need to repatriate its foreign profits, and do not need to pay taxes on that profit. If interest rates are artificially low because of the central bank, this can be a good idea. This is the case today. If interest rates go up, these companies made a good decision. In other cases to borrow money and buy back your own share it is really risky, and can lead to bankruptcy down the road. As a conclusion. In normal markets, there is only one good reason for companies to buy back they own shares, and this is when insiders feel that the company is undervalued. There is a bad reason when the company is buying back its own share: this is when the do the stock buyback so that executives receive bonuses, or to get out from the market. If you see this just sell with the insiders. The rest of the cases are because of tax avoidance or manipulated interest rates. The manipulation of interest rates by the central banks, and unequal taxation for capital gains and dividends, force companies to do things, that they would not do in normal circumstances. For example Apple is sitting on more than 100 billion dollars, and it is issuing bonds and buys back shares. In a normal market this does not make any sense. In an even tax condition Apple should return profits to shareholders in form of dividends, and it does not need any capital so it does not make sense to borrow money or issue bonds. With today’s artificial low interest rates, and tax laws, it makes perfect sense.

Wide of suspended Jakarta stock exchange 8. Close up of inactive board 9. Wide of woman sitting around empty trading booths STORYLINE: The Indonesian President said on Thursday that the financial situation in his country is "fully under control". Susilo Bambang Yudhoyono made the comment in shortly after his finance minister told the media that trading at the Jakarta stock exchange would resume on Friday. Meanwhile Yudhoyono also urged state companies on Thursday to buy up their own shares to quell a stampede of selling that sent the main stock index skidding more than 20 percent this week. Yudhoyono said it was his governments "priority" to protect people and "ensure that their needs, including food, daily needs, education, health and other public service needs were not disturbed." A trading freeze imposed on the Jakarta Stock Exchange on Wednesday in response to sudden, steep loses was to be lifted on Friday, said Finance Minister Sri Mulyani Indrawati. To enable the buyback measure the President proposed raising a 10 percent limit on share purchases to 20 percent and scrapping compulsory shareholder approval, said a senior capital market regulator. In another measure, regulatory authorities will lower a minimum reserve requirement for corporations, a step aimed at freeing up (b) billions of dollars in liquidity, said Miranda Gultom, deputy governor of Bank Indonesia. Indonesia has more than 100 state-owned corporations active in mining, utilities, telecommunications and commodities. The buy-back plan comes precisely as the government sought to divest commercial holdings and attract foreign capital. Among the main publicly traded government businesses are cement manufacturer PT Semen Gresik, telecommunications monopoly PT Telkom and PT Timah, the world's largest exporter of tin. Fears about the global financial crisis sent the benchmark JSX index tumbling more than 10 percent yesterday triggering a suspension. Thursday's session was cancelled before trading opened. Leaders in Indonesia, which suffered a devastating financial meltdown in the 1997-1998 Asian financial crisis, rushed to reassure investors that the fundamental economy remains strong. At the same time the Finance Ministry revised downward growth targets for 2009 to between 6.0 and 6.1 percent from 6.3 percent. Indonesia's market has tumbled 47 percent since the start of the year driven by falls in heavyweight commodities stocks, one of the sharpest drops in Asia. Other Asian markets were mixed overnight as investor enthusiasm over Wednesday's rate cuts around the world was tempered by ongoing fears about the strains in the credit markets and the prospect of a deep global recession, which would hit Asian exporters hard. And yet just two decades ago Apple was on the verge of bankruptcy; surprisingly, it wasn't Steve Jobs that saved them, but their biggest rival at the time: Microsoft. Throughout the 1990s Microsoft was expanding aggressively, achieving a staggering 90% market share in the personal computer market. Apple, meanwhile, was in rapid decline: developers were making fewer and fewer applications for the Macintosh, while Apple's license for Microsoft Office was expiring. Things were looking grim, until at Apple's yearly conference, Steve Jobs made a very surprising announcement. Steve Jobs announced Microsoft would be one of Apple's key strategic partners. Microsoft would invest $150 million into Apple in exchange for non-voting shares and in exchange would license Microsoft Office to Apple for another 5 years. The audience reaction was mixed, but ultimately this proved to be the saving grace for Apple. Without this capital infusion from Microsoft, Apple would've gone bankrupt in less than 90 days. So why did Bill Gates do it? Why did he save Apple? In truth, he wasn't doing it out of the kindness of his heart. Instead, he noticed the looming threat of anti-trust regulations. He knew the Department of Justice was getting ready to break up Microsoft on monopoly grounds, so he did his best to prop-up his competition. Essentially, he saved Apple to save Microsoft. When the anti-trust threat had been resolved in 2001, Bill Gates sold his stake in Apple and moved on. Of course, as we now know today, Apple eclipsed Microsoft (and every other tech company) and Bill Gates' original $150 million stake would've been worth over $50 billion today. He missed out on quite some gains! Under the kind patronage of Nagabhushanam Peddi, Dan Supernault, Samuel Patterson, James Gallagher & Brett Gmoser.

5 Best Dividend Stocks to Buy in 2019 [6%+ Dividend Yields]

14:01
I’m revealing the best dividend stocks for 2019 and it might surprise you that they aren’t actually dividend paying stocks. These special types of companies are the highest paying dividend stocks but cannot be valued the same way. It’s one of the biggest misconceptions with REITs and MLPs and I see investors try to use the price-earnings ratio all the time. You can’t use common stock valuation techniques when looking at REIT investing or MLPs. In this video, I’ll walk you through the basics of these two types of dividend paying stocks from how they differ with other stocks to how much you can make and the risks involved. I’ll also reveal special metrics to value these companies and the best dividend stocks to buy in each group. Invest on a no fee website like M1 Finance and save thousands on commissions. I use M1 for the no-cost and easy automatic investing in my portfolio. Get a special bonus offer with this link https://mystockmarketbasics.com/joinm1finance REITs and MLPs are some of the best dividend stocks for your portfolio because not only do they pay higher dividend yields than other stocks, they also protect your portfolio from a financial crash. These aren’t like other companies. They own real assets that hold their value and spin off an amazing amount of cash flow. There are some risks involved though with these types of dividend stocks and you can’t treat them like normal stock dividends. I’ll walk through all the risks and differences in the video as well as how to find the best stocks to buy. Step by Step Dividend Investing – Get paid to invest! How to find income investments for fast cash flow and create passive income with dividends, REITs and MLPs with this book. http://amzn.to/2aLpFcs One last note is that the tax benefits on these two types of dividend stocks are different as well. You shouldn’t hold MLPs in a tax-advantaged retirement investing account while REITs are perfect investments for a retirement account along with other high dividend paying stocks. I go into detail on this in the video so be sure to watch it all the way through. When you’re done, check out this video on dividend stocks for beginners that will show you how to pick dividend stocks https://youtu.be/tKVVkQTpC7c This next one is a can’t-miss dividend investing video where I reveal the warning signs of a dividend cut and when to sell a dividend stock https://youtu.be/eRlSRYJ9qTM 0:55 REIT Investing vs Dividend Stocks vs MLPs 1:40 Why You Cannot Use the PE Ratio with these Dividend Stocks 2:15 MLP Investing 7:57 What are REITs 11:30 Best REIT Dividend Stocks SUBSCRIBE to create the financial future you deserve with videos on beating debt, making more money and making your money work for you. https://peerfinance101.com/FreeMoneyVideos YouTube Community Exclusive: 55% Off my Goals-Based Investing Strategy Course! F is for Futures - The Elite Investor Club's A - Z of Investing

04:23
We’re now at the letter E and we hit another of the big beasts of the investment world, equities. Also known as stocks and shares. This is an important one so put down your phone and let me have your full attention. When you buy shares in a company you own equity in that company. Just like when your house is worth more than the mortgage on it. The difference is called equity. Remember how with bonds we are lending a company money and getting paid interest on it? With shares, there’s no loan – we actually own a tiny fraction of the whole enterprise. It’s a very exciting and democratic concept – for a few pounds anyone can own a piece of some of the greatest companies in the world. It’s the basis of the capitalist system and the bedrock of your current or future wealth. I said there was no interest, but that doesn’t mean we can’t earn income from shares. The bigger, more established companies pay out some of their profits as regular dividends to their shareholders if they don’t need to retain the money to fund their operations. Some of the best companies have a track record of gradually increasing their dividend payments over years and even decades. And here’s one of the most important investment nuggets you’ll ever learn. There’s hundreds of years of data to prove that most of your returns from the stock market will come from reinvesting these dividends into more shares. If you’re retired you can take the dividends as part of the income that you live on, but if you’re in the wealth accumulation phase you should definitely be reinvesting the dividends. With interest rates on savings being so pathetic these last eight years, many people have turned to shares where they can receive three, four even five per cent a year dividends plus any capital growth if the share price goes up. The only problem is our old friend supply and demand. The more people chasing these dividend paying shares, the more expensive they get and the lower the dividend yield becomes as a percentage of the share price. So , as ever, try to buy when there’s a dip in the price for some reason. Better still, invest in a fund that offers a wide spread of dividend producing shares so you can spread your risks. There are many types of companies spread across lots of different sectors like technology, biotech, pharmaceuticals and so on. Quite often technology companies will not pay much in the way of dividends as they focus on developing their products, but they can offer spectacular capital growth if their products are successful in the market place. For experienced investors, you might like to consider an approach called momentum investing, which focuses on companies already in a rapid growth phase and rides the upward wave to make big capital gains. But let me give a word of caution. There’s a fine line between momentum and what I call bigger fool theory. In other words, if I buy this for a hundred pounds a share today I hope there’ll be a bigger fool willing to pay a hundred and twenty pounds for it in a few months time. We’re seeing a lot of this in the technology sector at the moment, with companies like Twitter on ridiculous valuations without troubling their accountants with any profits to bean count. Conventional wisdom has it that shares are riskier than bonds, which is why shares tend to offer a higher return. You’ll often see asset allocations that suggest moving gradually out of equities and into bonds as you get older. I don’t buy it. Right now I see bonds as much riskier than the shares of quality companies. I also see a population living longer and needing reliable sources of income for several decades to come. I can’t give advice, but I assure you that even as I approach my sixties dividend producing shares in high quality companies feature much more strongly in my own portfolio than bonds in bankrupt governments.

The Dangers of Rent-to-Own Agreements

08:33
For many people, rent-to-own sounds like a simple and practical agreement—live in the house as a tenant, pay rent each month, and have the rent count toward the purchase of the property. Unfortunately, these transactions are anything but simple. The paperwork is often drawn up incorrectly, is incomplete, or is simply contradictory to what the buyer and seller verbally agreed upon. A traditional home purchase involves at least one realtor, a title insurance company, a mortgage company, and a settlement company; it is a professionalized industry that takes ordinary purchasers by the hand and leads them through the complicated process. Rent-to-own transactions present a seemingly viable option for people who have been shut out of this traditional lending market—those with low-income or poor credit, or who simply can’t save up the necessary funds to go to closing. These people are left to desperately circumvent the system, and they come across unscrupulous sellers, often career landlords who operate their own business and prepare their own documents. The power imbalance is palpable. This video, which features Community Legal Services attorney Jennifer Schultz and her client, Wilmarie, tells the story of one rent-to-own agreement gone wrong, and educates people on the dangers of rent to own agreements. To learn more about rent-to-own agreements and how you may be able to get legal help, visit https://clsphila.org/get-help/rent-own. Trade Stocks, Shares And Make Profit in 60 Seconds !! Easy Investing For Elite.

04:43
CLICK HERE -- http://binarymoney.org/?kw=STOCKS -- Start Making Money Every 60 Seconds Right NOW ! Over the past few years the stock market has made substantial declines. Some short term investors have lost a good bit of money. Many new stock market investors look at this and become very skeptical about getting in now. If you are considering investing in the stock market it is very important that you understand how the markets work. All of the financial and market data that the newcomer is bombarded with can leave them confused and overwhelmed. The stock market is an everyday term used to describe a place where stock in companies is bought and sold. Companies issues stock to finance new equipment, buy other companies, expand their business, introduce new products and services, etc. The investors who buy this stock now own a share of the company. If the company does well the price of their stock increases. If the company does not do well the stock price decreases. If the price that you sell your stock for is more than you paid for it, you have made money. When you buy stock in a company you share in the profits and losses of the company until you sell your stock or the company goes out of business. Studies have shown that long term stock ownership has been one of the best investment strategies for most people. People buy stocks on a tip from a friend, a phone call from a broker, or a recommendation from a TV analyst. They buy during a strong market. When the market later begins to decline they panic and sell for a loss. This is the typical horror story we hear from people who have no investment strategy. Before committing your hard earned money to the stock market it will behoove you to consider the risks and benefits of doing so. You must have an investment strategy. This strategy will define what and when to buy and when you will sell it. History of the Stock Market Over two hundred years ago private banks began to sell stock to raise money to expand. This was a new way to invest and a way for the rich to get richer. In 1792 twenty four large merchants agreed to form a market known as the New York Stock Exchange (NYSE). They agreed to meet daily on Wall Street and buy and sell stocks. By the mid-1800s the United States was experiencing rapid growth. Companies began to sell stock to raise money for the expansion necessary to meet the growing demand for their products and services. The people who bought this stock became part owners of the company and shared in the profits or loss of the company. A new form of investing began to emerge when investors realized that they could sell their stock to others. This is where speculation began to influence an investor's decision to buy or sell and led the way to large fluctuations in stock prices. Originally investing in the stock market was confined to the very wealthy. Now stock ownership has found it's way to all sectors of our society.
